1. DEFINITIONS

mrtireoutlet.com is the web site maintained on the World Wide Web by Mr. Tire and its affiliates. "The site" or "site" refers to mrtireoutlet.com. "User", or collectively "Users", refers to any party who accesses the site. "Mr. Tire" refers to the Mr. Tire program. Mr. Tire may from time to time and at its sole discretion post content on the site that has been submitted to Mr. Tire by User, including but not limited to product reviews or other comments (collectively, "User Content"). 8. INDEMNIFICATION

If Mr. Tire does take any legal action against you as a result of your violation of these Terms of Use, Mr. Tire will be entitled to recover from you, and you agree to pay, all reasonable attorneys' fees and costs of such action, in addition to any other relief granted to Mr. Tire. You agree that Mr. Tire will not be liable to you or to any third party for termination of your access to the site as a result of any violation of these Terms of Use.

11. TERMINATION OF AGREEMENT

Either Mr. Tire or User may terminate this Agreement at its discretion. In addition to Mr. Tire's other rights, Mr. Tire may terminate access to this site or cancel membership to any service that Mr. Tire provides on the site, if User breaches this Agreement in any way or engages in conduct that Mr. Tire deems inappropriate.

12. LINKS

User is granted a limited, revocable, and nonexclusive right to create a hyperlink to the home page of the site so long as the link does not portray Mr. Tire or its products or services in a false, misleading, derogatory, or otherwise offensive manner. User may not use any Mr. Tire logo or other proprietary graphic or trademark as part of the link without express written permission. Mr. Tire reserves the right to terminate any link found on the site at any time. User may not utilize framing techniques to enclose any trademark, logo, or other Mr. Tire proprietary information (including images, text, page layout, or form) or use any meta tags or any other "hidden text" utilizing Mr. Tire's name or trademarks without Mr. Tire's express written consent.

13. COPYRIGHT PROTECTION

Mr. Tire honors the intellectual property rights of others and asks the same of Users of the site. Mr. Tire may, in its sole discretion, terminate the accounts or access rights of Users whose actions infringe or otherwise violate the intellectual property rights of others. If you believe your work has been infringed, please provide Mr. Tire with the following information:

   a) A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

   b) Identification of the copyright work claimed to have been infringed or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;

14. MISCELLANEOUS

These Terms of Use constitute the entire agreement between Mr. Tire and User regarding the subject matter hereof. Any previous agreement, whether oral or written, between Mr. Tire and User dealing with the subject matter hereof is superseded. If any portion of this Agreement is found to be unenforceable for any reason, such portion will be deemed severed and will not affect the enforceability of the remaining terms. Upon User's breach of this Agreement, Mr. Tire may pursue any legal or equitable remedy available, including but not limited to, direct, consequential and punitive damages and injunctive relief. Mr. Tire's remedies are cumulative and not exclusive. Failure of Mr. Tire to exercise any remedy or enforce any portion of this Agreement at any time shall not operate as a waiver of any remedy or of the right to enforce any portion of the Agreement at any time thereafter. User agrees that regardless of any statute or law to the contrary, any claim or action arising out of or regarding this Agreement must be filed within one (1) year after such claim or cause of action arose or be forever barred. Mr. Tire makes no representation that the content of the site is appropriate or available for use in all locations. Users of this site are responsible for compliance with all applicable local laws. Any dispute arising out of this Agreement shall be governed by the laws of the State of Ohio, U.S.A, notwithstanding any conflicts of law principles. Any action relating to this Agreement must be filed and maintained in a state or federal court located in Allen County, State of Ohio, U.S.A., and each User consents to exclusive jurisdiction and venue in such courts for such purpose.
